These Terms of Use govern your access to and use of the Scrivella.ai website, software, applications, products and services (together, the Services).
The Services are owned and operated by Fourie Pty ltd t/a Scrivella.ai. In these Terms of Use, “Scrivella.ai”, “we” and “us” means Fourie Pty Ltd t/a Scrivella.ai.
By accessing or using the Services, you agree to be bound by these Terms of Use, our Privacy Policy and any other terms or policies referred to on our website. If you do not agree to these Terms, you must not access or use the Services.
Scrivella.ai provides artificial intelligence-powered software and tools designed to assist users with uploading a recorded audio and turn it into clear, editable written text.
The Services may use artificial intelligence and third-party technology providers to provide certain features.
AI-generated content is provided as an assistance tool and should be reviewed by you before being relied upon, published, submitted or otherwise used.
You must be at least 18 years old or otherwise have the legal capacity to enter these Terms.
If you use the Services on behalf of a business or organisation, you represent that you have authority to bind that business or organisation to these Terms.
You are responsible for ensuring that your use of the Services complies with all applicable laws and regulations.
Some features of the Services may require you to create an account.
You agree to provide accurate, current and complete information when creating your account and to keep that information up to date.
You are responsible for maintaining the confidentiality of your account credentials and for all activity carried out through your account.
You must notify us promptly if you believe your account has been accessed or used without your permission.
Certain Services may be available on a subscription basis.
Details of the available plans, pricing, included features, usage allowances and billing periods are displayed on our website at the time you subscribe.
Unless otherwise stated, subscription fees are charged in advance for each billing period.
By subscribing, you authorise us or our payment provider to charge your nominated payment method for the applicable subscription fees.
We may change our subscription plans, features or pricing from time to time. Where required by applicable law, we will provide reasonable notice of material changes to your subscription price.
If you upgrade your subscription, the new plan may take effect immediately.
Where specified at the time of the upgrade, you may be charged the full price of the new plan and your billing cycle may restart on the date the upgrade takes effect.
Any unused allowances, credits or usage from your previous plan will be treated in accordance with the applicable plan terms displayed at the time of your upgrade.
Downgrades will generally take effect at the beginning of your next billing period unless otherwise stated.
Payments for the Services may be processed by third-party payment providers, including Stripe or other payment providers made available by us from time to time.
Payment processing is subject to the applicable payment provider's terms and privacy policies.
We do not generally receive or store your completed payment card details.
You authorise our payment provider to charge your nominated payment method for all amounts properly payable under your subscription.
If a payment is declined, fails or cannot be processed, we may suspend or restrict access to the Services until payment is successfully received.
Prices displayed on our website may include or exclude applicable taxes depending on your location and the applicable tax requirements.
Customers located outside Australia may be responsible for applicable taxes, duties or other charges imposed by the jurisdiction in which they reside or use the Services, to the extent permitted by law.
Where we are required by law to collect taxes, those taxes may be added to the amount payable at checkout or otherwise charged to you.
You may cancel your subscription in accordance with the cancellation process made available through your Scrivella.ai account or by contacting us.
Unless otherwise stated, cancellation will prevent renewal of your subscription at the end of the current billing period.
Cancelling your subscription does not automatically entitle you to a refund for amounts already paid for the current billing period.
Nothing in these Terms excludes or limits any refund or cancellation rights that cannot lawfully be excluded under applicable consumer protection laws.
Refunds will be provided in accordance with our refund policy and applicable consumer protection laws.
We may consider refund requests on a case-by-case basis where appropriate.
Nothing in these Terms is intended to exclude, restrict or modify any rights or remedies available to you under applicable law.
You may enter, upload or otherwise provide text, documents and other information when using Scrivella.ai (collectively, your 'User Content').
You retain ownership of your User Content.
You grant Scrivella.ai the limited rights necessary to process, store, transmit and otherwise use your User Content solely to provide, maintain, secure and improve the Services, subject to our Privacy Policy and any additional terms applicable to the Services.
You are responsible for ensuring that you have all necessary rights, permissions and consents to submit User Content to the Services.
You must not submit content that you are not legally entitled to use or disclose.
The Services may generate text, documents, suggestions, summaries or other material using artificial intelligence (AI Output).
AI Output may be inaccurate, incomplete, misleading or not appropriate for your specific needs or circumstances.
You are responsible for reviewing and verifying AI Output before relying upon, publishing, distributing or using it.
Scrivella.ai does not guarantee that AI Output will be accurate, unique, complete or suitable for a particular purpose.
You acknowledge that similar or identical output may be generated for other users.
You remain responsible for determining whether AI Output is appropriate for your intended use.
Scrivella.ai uses automated technology to generate transcriptions from audio and other content submitted to the Services. Transcriptions are generated automatically and may contain errors, omissions, inaccuracies or incorrectly interpreted words.
Speaker labels, where available, are also generated automatically. In the current version of the Services, speakers may be identified using generic labels such as “Speaker 1”, “Speaker 2” and “Speaker 3”. These labels indicate distinct voices identified by the system and are not intended to identify a particular individual.
Speaker labels are not identity verification, biometric identification or confirmation of a speaker's identity. Scrivella.ai does not guarantee that every speaker will be detected, separated or labelled correctly.
You should review and, where appropriate, verify transcripts and speaker labels before relying on them, particularly where accuracy or identification of speakers is important.
Scrivella.ai may use third-party technology and AI providers to operate or provide certain features of the Services.
Your use of the Services may therefore involve the processing of information by those providers in accordance with the arrangements described in our Privacy Policy.
We may change or replace third-party providers from time to time where reasonably necessary to operate or improve the Services.
You must not use the Services:
We may suspend or terminate access where we reasonably believe the Services are being misused or these Terms have been breached.
As between you and Scrivella.ai, we retain all rights, title and interest in the Services, including the software, website, design, trademarks, logos, functionality and underlying technology.
Except as expressly permitted by these Terms, you must not copy, reproduce, modify, distribute, sell, lease or commercially exploit any part of the Services.
Scrivella.ai and the Scrivella.ai name, logos and associated branding are our property or are used under licence.
We will use reasonable efforts to keep the Services available and operating.
However, we do not guarantee that the Services will always be available, uninterrupted, secure or error-free.
The Services may occasionally be unavailable due to maintenance, upgrades, technical problems, third-party services, internet failures or circumstances outside our reasonable control.
We may modify, suspend or discontinue features of the Services from time to time.
The Services may contain links to or integrations with third-party websites, applications or services.
Those third-party services are not controlled by Scrivella.ai.
Your use of third-party services is subject to the applicable third party's terms and privacy policies.
We are not responsible for the availability, accuracy, security or operation of third-party services.

By using the Services, you acknowledge that your information may be collected and processed in accordance with that Privacy Policy.
Where the Services are used by customers located outside Australia, personal information may be transferred to or processed in countries other than the country in which you are located, subject to applicable privacy laws and our Privacy Policy.
We take reasonable steps to protect information provided to us and to maintain the security of the Services.
However, no internet transmission, computer system or electronic storage system can be guaranteed to be completely secure.
You are responsible for maintaining the security of your account credentials and devices used to access the Services.
To the maximum extent permitted by law, the Services are provided on an “as is” and “as available” basis.
We do not guarantee that the Services or AI Output will be accurate, complete, reliable, uninterrupted or suitable for your particular purpose.
You should independently assess information or AI Output generated through the Services before relying upon it.
Nothing in these Terms excludes any guarantee, condition, right or remedy that cannot lawfully be excluded under applicable law.
To the maximum extent permitted by law, Scrivella.ai and its officers, employees, contractors, affiliates and service providers will not be liable for indirect, incidental, special or consequential loss arising from your use of, or inability to use, the Services.
This may include loss of profits, revenue, business opportunities, data or anticipated savings.
Nothing in these Terms limits or excludes liability that cannot lawfully be limited or excluded.
To the maximum extent permitted by law, you agree to indemnify and hold harmless Scrivella.ai, its officers, employees, contractors and affiliates from claims, losses, liabilities, costs and expenses arising from:

These Terms are governed by the laws of Western Australia.
Subject to any mandatory rights available to consumers under applicable law, the courts of Western Australia will have jurisdiction in relation to disputes arising from these Terms or your use of the Services.
